Tata Motors Limited has launched a new not-for-profit subsidiary named Tata Motors Foundation, aimed at carrying out structured corporate social responsibility (CSR) activities. The foundation was officially registered on July 17, 2025, under Section 8 of the Companies Act, 2013.

Registered as a Section 8 Company

Tata Motors Foundation has been incorporated as a Section 8 company, which means it will operate not for profit and focus solely on charitable, social, and welfare initiatives. This format offers regulatory flexibility and allows the company to devote resources toward impactful CSR programs without commercial intent.

Shareholding and Capital Structure

The foundation has been set up with an authorized share capital of ₹50 lakh, divided into 5,00,000 equity shares of ₹10 each. As of now, the paid-up capital stands at ₹10 lakh, consisting of 1,00,000 equity shares.

Here’s how the ownership is split among various Tata Group entities:

  • Tata Motors Limited – 45%
  • Tata Motors Passenger Vehicles Limited – 40%
  • Tata Technologies Limited – 10%
  • Tata Motors Digital.AI Labs Limited – 2%
  • Tata Motors Global Services Limited – 2%
  • Tata Passenger Electric Mobility Limited – 1%

Purpose and Objectives

The main aim of Tata Motors Foundation is to promote and implement CSR projects across different sectors. These can include education, healthcare, environment, community development, and more. As a Section 8 company, it will not distribute profits to shareholders but instead reinvest everything into its social goals.

The foundation is expected to serve as a dedicated platform for planning, organizing, and executing CSR activities that align with the company’s long-term commitment to social welfare.

Regulatory Disclosure

Tata Motors made the required disclosures to both BSE Limited and the National Stock Exchange of India Limited under Regulation 30 of SEBI’s Listing Obligations and Disclosure Requirements (LODR), 2015. The filings were submitted by Maloy Kumar Gupta, Company Secretary of Tata Motors.

In the regulatory filing, the company also clarified that this incorporation does not fall under related party transactions. The subscription to the share capital of Tata Motors Foundation has been treated as a standard business activity outside the scope of such transactions.

What This Means

By setting up the Tata Motors Foundation, the company is taking a more structured and long-term approach to CSR. It strengthens Tata Motors’ vision to go beyond manufacturing and contribute meaningfully to society. With multiple Tata entities participating, the foundation also reflects a group-wide alignment toward shared social responsibility.

This move shows how Indian companies are now formalising their social impact efforts using legal structures specifically meant for charitable work.
