Bosch Ltd has partnered with Wheels India Ltd and Brakes India Pvt Ltd to establish a new joint venture focused on electronically controlled and software-driven air system solutions for commercial vehicles.
According to the company announcement, the proposed venture will operate as a 50:50 partnership between Bosch and TSF Group companies, Wheels India and Brakes India. The new company is expected to begin operations by the end of 2026 after receiving necessary regulatory approvals.
The new joint venture will work on the engineering, manufacturing, and sales of advanced air system technologies for commercial vehicles. These include:
Air compression systems
Air processing systems
Air suspension modules
Air parking brake modules
The companies said the partnership has been formed to meet the growing demand for better efficiency, safety, and automation in commercial vehicles as the industry moves towards software-driven vehicle architecture.
Guruprasad Mudlapur, President of the Bosch Group in India and Managing Director of Bosch Ltd, said the company is continuously expanding its capabilities in the commercial vehicle sector.
He stated that the joint venture marks an important step towards developing advanced air systems for future commercial vehicles.
Sandeep Nelamangala, Joint Managing Director of Bosch Ltd and President of Bosch Mobility India, said the commercial vehicle industry is currently shifting from mechanical hardware to software-based systems. He added that air systems are becoming an important extension of Bosch’s commercial vehicle motion management portfolio.
The registered office of the joint venture will be located in Chennai.
The companies also confirmed that the global supply chain operations, including activities in India, will be managed jointly by Bosch, Brakes India, and Wheels India entities.
As per the exchange filing, the joint venture company will initially start with a paid-up equity capital of up to ₹1 lakh. This amount will be equally shared between Bosch and the TSF Group companies.
Within 60 days after incorporation, the partners will invest additional capital worth €1 million in a 50:50 ratio.
The companies may also bring in more investments later depending on business growth and funding needs.
The board of the joint venture will consist of four directors. Bosch will nominate two directors, while the TSF companies will nominate the remaining two directors.
The agreement also includes a five-year lock-in period, which will restrict the transfer of shares during that period.
Brakes India Managing Director Sriram Viji said the joint venture will help create a stronger integrated system-level offering for commercial vehicle OEMs.
He added that Brakes India’s expertise in pneumatic braking systems will support the development of air braking system components for future e-enabled mobility solutions.
Wheels India Chairman and Managing Director Srivats Ram highlighted the company’s long experience in air suspension systems for buses in India.
He said Wheels India has been working in this segment for more than three decades and that the collaboration with Bosch will help advance electronic air suspension systems for global customers.
The filing stated that the new company will also support:
Production of sub-components
Sales and business development
Services and distribution
Warehousing and logistics operations
These activities will focus on air system products across selected markets.
According to the filing:
Bosch Ltd reported a turnover of ₹20,034.7 crore in FY26
Wheels India reported a turnover of ₹5,124.4 crore
Brakes India reported a turnover of ₹7,241 crore in FY25
The partnership is expected to strengthen the commercial vehicle component ecosystem while supporting the industry’s transition toward smarter and electronically controlled mobility systems.
