SML Mahindra has reached a $1 billion market capitalization, marking a major milestone for the commercial vehicle manufacturer and highlighting the strong market response to Mahindra & Mahindra’s commercial vehicle consolidation strategy.

The company achieved the milestone on Wednesday after its share price delivered a sharp rally. SML Mahindra’s stock has risen nearly ninefold in around 14 months since M&M announced its acquisition deal in April 2025.

M&M’s SML Mahindra Investment Turns into a Major Gain

In April 2025, SML Mahindra shares were trading between ₹1,520 and ₹1,680 on the NSE and closed the month at around ₹1,523.50. Despite these market levels, M&M acquired a 58.96% controlling stake in SML from Sumitomo Corporation and Isuzu Motors at ₹650 per share. The transaction involved an investment of around ₹555 crore and was completed on August 1, 2025.

Since then, the value of M&M’s stake has increased to more than ₹5,600 crore. This represents an unrealised capital gain of approximately ₹5,000 crore in just over a year.

The gain is particularly significant for M&M because it exceeds the company’s combined accumulated operating losses from its truck and bus business since its earlier entry into the commercial vehicle segment with Navistar.

MTBD Demerger to Create a Unified Truck and Bus Business

The strong market valuation comes as M&M and SML Mahindra move ahead with a major restructuring of their commercial vehicle operations. The boards of both companies have approved a plan to demerge Mahindra Truck and Bus Division (MTBD) from M&M and merge it into SML Mahindra. The move is aimed at creating a single Mahindra Group entity focused exclusively on the trucks and buses business. The consolidation is expected to bring the two operations together and provide a larger platform for competing across India's commercial vehicle market.

Mahindra-SML Targets Higher Commercial Vehicle Market Share

The combined Mahindra-SML commercial vehicle business held around 6% of India's above-3.5-tonne market in FY2026. The company is targeting 10–12% market share by FY2031 and more than 20% by FY2036.

The targets vary across individual segments. In ILCV buses, Mahindra and SML were already the second-largest player, with a 26.6% market share in Q1 FY2027. The combined business aims to increase this to 30%.

For ILCV trucks, where the current market share is in the early teens, the target is to move into the higher teens. In the heavy truck segment, the company currently has around 3% share and aims to reach 5% by FY2031.

Blazo i-TRK Adds to Early Fleet Demand

The company's operational performance is also supporting the positive investor sentiment. Mahindra's recently launched Blazo i-TRK platform has received a strong initial response from fleet operators. The new platform recorded 80% growth in its first month after launch, indicating encouraging early demand and adding further momentum to Mahindra's commercial vehicle strategy.
